Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the Pade platform. By creating an account or using any part of the Service, you agree to these Terms.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (“User”, “you”) and NISOLABS LIMITED(RC 8609726), a company incorporated in Nigeria and trading as Pade (“Pade”, “we”, “us”). By registering an account, clicking “Start free”, or otherwise using any part of the Pade platform (“Service”), you agree to be bound by these Terms and our Privacy Policy.

If you are using Pade on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. The Pade Service

Pade is a WhatsApp-first business platform for small and informal businesses — helping traders track customers, collect payments, and understand their business. The Service includes:

  • Debt tracking and customer management
  • WhatsApp and Instagram DM payment reminders
  • Paystack and Flutterwave payment link generation and reconciliation
  • Invoice generation and AI-assisted message drafting
  • Reporting, analytics, and daily business summaries via WhatsApp

Pade reserves the right to modify, suspend, or discontinue any feature of the Service at any time. We will provide reasonable notice of significant changes.

3. Eligibility

To use Pade, you must:

  • Be at least 18 years old
  • Be a business owner, sole trader, or authorised representative of a business operating in Nigeria or another African market supported by the Service
  • Have the legal right to use the WhatsApp Business number and/or Instagram Business account you connect to Pade
  • Not be prohibited from using the Service under applicable law

4. Account Registration & Security

You must provide accurate and complete information when registering. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately at support@pade.ng if you suspect unauthorised access

Each account is for a single business. You may not share your account credentials with anyone outside your authorised business staff. Multi-user access is available on Pro plans only.

5. Subscription Plans & Billing

5.1 Plans

Pade offers a free plan and a paid Pro plan. Features and limits for each plan are described on our Pricing page, which may be updated from time to time. The current plan features at the time of your subscription apply to you.

5.2 Billing

  • Paid subscriptions are billed monthly or annually, in advance.
  • Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.
  • Prices are in Nigerian Naira (₦) unless otherwise stated. We reserve the right to change pricing with 30 days' notice.
  • All payments are processed by Paystack or Flutterwave. Pade does not store your card details.
  • Failed payments may result in temporary suspension of your account until the outstanding balance is settled.

5.3 Annual Plans

Annual subscriptions are billed upfront at ₦50,000/year (a 24% saving versus monthly billing). Annual plans are eligible for a pro-rated credit (not cash refund) if cancelled after the first 30 days — see Section 7.

6. Free Trial

Paid plans include a 14-day free trial. During the trial:

  • No credit card is required to start.
  • You have full access to all features of the plan you are trialling.
  • If you do not upgrade before the trial ends, your account automatically reverts to the free plan. Your data is not deleted.

Pade reserves the right to limit or terminate free trials at any time if we detect abuse (e.g., repeated trial accounts from the same person or business).

7. Cancellation & Refunds

7.1 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain full access until then.

7.2 Week-One Refund Guarantee

Our promise: If Pade does not pay for itself in your first 7 days on a paid plan, contact us at support@pade.ng and we will issue a full refund — no questions asked.

7.3 Refund Policy (After Week One)

  • Monthly plans: No refunds for the current billing period after 7 days. Cancel to prevent renewal.
  • Annual plans: If cancelled after 30 days, we will issue a pro-rated credit (applied to your account) for the unused months. Cash refunds are not available after 30 days on annual plans.
  • Free plan: No billing, no refund applicable.

Refunds are processed within 10 business days to the original payment method.

8. WhatsApp & Meta Platform Compliance

Pade accesses WhatsApp Business API and Instagram Messaging API under Meta's Platform Terms. By using these features, you agree to:

8.1 WhatsApp

  • Comply with Meta's WhatsApp Business Messaging Policy, including obtaining appropriate consent from your customers before sending them messages via Pade.
  • Only send messages for legitimate business purposes related to debts or payments your customers have agreed to.
  • Not use Pade to send spam, promotional messages unrelated to debt recovery, or content that violates Meta's policies.
  • Understand that Meta may suspend or restrict messaging if your phone number is flagged for high opt-out rates or policy violations. Pade is not liable for such suspensions.
  • Own and have the right to use the WhatsApp Business number you connect. You may not connect a number that belongs to another person or business without their authorisation.

8.2 Instagram DM

  • Only send DMs to customers who have messaged your business account within the 24-hour window permitted by Meta's Messaging Policy.
  • Not use Pade to send unsolicited first messages on Instagram.
  • Comply with Meta's Platform Terms and Instagram Community Guidelines.
Important:Violations of Meta's policies through your use of Pade may result in Meta restricting or suspending your WhatsApp or Instagram account. Pade will cooperate with Meta's enforcement actions and may suspend your Pade account if we receive credible reports of policy violations.

9. Acceptable Use

You agree not to use Pade to:

  • Send unsolicited bulk messages (“spam”) to any recipient
  • Harass, threaten, or intimidate your customers through reminder messages — all messages must be professional and lawful
  • Record debts that are fabricated, fraudulent, or for which there is no genuine underlying transaction
  • Circumvent rate limits or usage quotas imposed by Pade, WhatsApp, or Instagram
  • Reverse-engineer, scrape, or extract any part of the Pade platform
  • Use Pade to engage in money laundering, tax evasion, or any other illegal activity
  • Impersonate another business or person in your reminder messages
  • Sell, resell, or sublicense access to the Pade Service without our written consent

We reserve the right to suspend or terminate accounts that violate this section without notice or refund.

10. Payment Processing

Payment links generated by Pade are processed by Paystack or Flutterwave. By using payment links:

  • You agree to the terms of service of the applicable payment processor (Paystack or Flutterwave).
  • Paystack and Flutterwave are responsible for the security of card and bank data — Pade never holds or transmits full card numbers, BVN, or bank credentials.
  • Transaction fees charged by Paystack or Flutterwave are separate from and in addition to any Pade subscription fees.
  • Pade is not a payment service provider or financial institution. We are not responsible for failed transactions, chargebacks, or disputes between you and your customers.

11. Intellectual Property & Your Data

11.1 Pade's Intellectual Property

The Pade platform, including its software, design, AI models, and brand, is owned by Pade Technologies Ltd and protected by Nigerian and international intellectual property law. You may not copy, modify, or distribute any part of the platform without our written consent.

11.2 Your Data

You own all data you enter into Pade — your customer records, debt entries, and business data. By using the Service, you grant Pade a limited licence to store, process, and use that data solely to deliver the Service to you. We do not claim ownership of your data.

You may export all your data at any time from the dashboard (CSV or PDF). If you close your account, you have 30 days to export before data is deleted.

12. Limitation of Liability

To the maximum extent permitted by Nigerian law, Pade's total liability to you for any claim arising out of or related to the Service is limited to the total subscription fees you paid to Pade in the 12 months preceding the claim.

Pade is not liable for:

  • Loss of revenue, profit, or customers
  • Failure to recover a debt — Pade is a tool; debt recovery outcomes depend on many factors beyond our control
  • Actions taken by Meta (WhatsApp/Instagram account suspensions, message delivery failures)
  • Actions taken by Paystack or Flutterwave (payment failures, chargebacks)
  • Data loss due to your failure to export data before account deletion
  • Indirect, consequential, special, or punitive damages of any kind

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or for fraud, or for any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify and hold harmless NISOLABS LIMITED (trading as Pade), its officers, employees, and agents from any claim, loss, or expense (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of Meta's WhatsApp or Instagram policies
  • Messages you send to your customers that are harassing, fraudulent, or unlawful
  • Your infringement of any third party's rights

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

If a dispute arises between you and Pade, we encourage you to contact us first at legal@pade.ng — most issues can be resolved quickly without formal proceedings.

If we cannot resolve a dispute informally within 30 days, it shall be referred to arbitration under the Arbitration and Conciliation Act (Cap A18), Laws of the Federation of Nigeria 2004, with the seat of arbitration in Abuja, Nigeria. The language of arbitration shall be English.

15. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you at least 30 days in advance via email or WhatsApp notification. The updated Terms will be posted on this page with a new effective date.

Continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must cancel your account before the effective date.
